These Terms govern your use of the Verdantis website and, together with any engagement-specific agreement, our consulting services. They are governed by the laws of Malaysia.
1. Interpretation
In these Terms and Conditions:
- "Verdantis", "we", "our", or "us" refers to Verdantis Consulting Sdn. Bhd., registered in Malaysia, with its principal place of business at 18-3 Jalan Tun Razak, 50400 Kuala Lumpur.
- "Website" refers to the website operated by Verdantis at verdantisa.info and all associated pages.
- "User", "you", or "your" refers to any person who accesses the Website or engages with Verdantis in any capacity.
- "Services" refers to the consulting engagements offered by Verdantis, including Strategic Planning Advisory, Operations Diagnostic, and Leadership Alignment Sessions.
- "Agreement" refers to any written or electronically executed consulting engagement letter or contract between you and Verdantis.
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.
2. Use of the Website
You may use the Website for lawful purposes only. You agree not to:
- Use the Website in any way that violates applicable Malaysian law or regulation
- Transmit unsolicited commercial communications via the Website
- Attempt to gain unauthorised access to any part of the Website or its underlying systems
- Introduce malicious code, viruses, or other technically harmful material
- Use any automated tools to extract data from the Website without our written consent
- Reproduce, modify, or redistribute Website content without prior written permission
We reserve the right to restrict or suspend access to the Website at our discretion, without notice, where we believe these Terms have been violated.
3. Intellectual Property
All content on the Website, including but not limited to text, graphics, logos, icons, and layout, is the property of Verdantis Consulting Sdn. Bhd. or its content licensors and is protected under Malaysian copyright law and applicable international treaties.
You may view and print pages from the Website for personal, non-commercial reference only. You may not reproduce, republish, upload, transmit, or distribute Website content in any form without our prior written consent.
Deliverables produced under a consulting engagement are governed by the intellectual property terms of the applicable Agreement. In the absence of a specific Agreement, all rights in engagement deliverables remain with Verdantis until full payment has been received, at which point a non-exclusive licence is granted to you for internal use.
4. Consulting Services
The Website provides general information about Verdantis's services. It does not constitute an offer to provide consulting services. Engagements are subject to a separate written Agreement signed by both parties, which sets out the scope, deliverables, timeline, and fee for that engagement.
Verdantis provides services on a reasonable endeavours basis. We do not warrant specific business outcomes. Our engagements are designed to support informed decision-making; ultimate decisions rest with your organisation.
Verdantis may decline to enter into any engagement at its discretion, including where it perceives a conflict of interest or where the requested scope falls outside our practice areas.
5. Fees and Payment
Fees for consulting engagements are as set out in the applicable Agreement. Prices displayed on the Website are indicative and may be subject to variation based on engagement scope.
Unless otherwise agreed in writing:
- A deposit of 50% of the total fee is due prior to commencement of work
- The remaining balance is due upon delivery of final outputs or completion of the final session, whichever is applicable
- Invoices are payable within 14 days of the invoice date
- Late payments may be subject to interest at the rate of 1.5% per month on the outstanding amount
All fees are stated in Malaysian Ringgit (RM) and are exclusive of any applicable taxes, unless stated otherwise.
6. Confidentiality
Verdantis treats all client information as confidential. Prior to any substantive discussion of your organisation's information, we sign a formal non-disclosure agreement. The specific terms of confidentiality applicable to an engagement are set out in that agreement.
Similarly, any proprietary information, methodologies, or materials shared by Verdantis during an engagement are to be treated as confidential by you and not disclosed to third parties without our consent.
7. Limitation of Liability
To the fullest extent permitted by Malaysian law, Verdantis's total liability to you in connection with the Website or any consulting services shall not exceed the total fees paid by you to Verdantis in the twelve months preceding the event giving rise to the claim.
Verdantis shall not be liable for any indirect, consequential, incidental, or special loss or damage, including but not limited to loss of profits, loss of business, or loss of anticipated savings, whether arising in contract, tort, or otherwise.
Nothing in these Terms limits or excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable Malaysian law.
8. Disclaimers
The Website and its content are provided on an "as is" basis. While we take care to maintain accuracy, we make no warranties, express or implied, as to the completeness, accuracy, or fitness for purpose of information on the Website.
We do not guarantee uninterrupted or error-free access to the Website. We may update, modify, or remove Website content at any time without notice.
General information on the Website about business consulting topics does not constitute professional advice and should not be relied upon as such. Seek professional advice appropriate to your specific circumstances before making business decisions.
9. Third-Party Links
The Website may contain links to third-party websites. These links are provided for convenience only. Verdantis does not endorse, control, or take responsibility for the content, privacy practices, or availability of third-party websites. You access such websites at your own risk.
10. Termination of Engagements
Either party may terminate a consulting engagement by providing written notice as specified in the applicable Agreement. Unless otherwise agreed:
- Fees for work completed up to the date of termination are payable in full
- If Verdantis terminates for reasons other than client breach or default, any unused portion of pre-paid fees will be refunded on a pro-rated basis
- Termination does not affect confidentiality obligations or intellectual property arrangements, which survive termination
11. Governing Law and Jurisdiction
These Terms, and any dispute or claim arising from or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of Malaysia.
Both parties agree to submit to the exclusive jurisdiction of the courts of Malaysia for the resolution of any disputes arising under or in connection with these Terms or any consulting agreement, without prejudice to either party's right to seek urgent injunctive relief in any competent court.
12. Changes to These Terms
We may update these Terms from time to time. The current version will always be available on this page with an updated effective date. Your continued use of the Website after any changes constitutes acceptance of the revised Terms.
Changes to Terms applicable to a specific ongoing engagement will be agreed in writing between the parties and will not take effect unilaterally.
